Derrick Godfrey focuses his practice on corporate and business transactions, including entity formation, corporate governance and mergers and acquisitions. Derrick has a particular focus on corporate and transactional issues facing healthcare providers of all sizes and has extensive experience representing hospitals, physician practices and dental practices in negotiating and executing acquisitions, employment and services agreements, co- management arrangements, and joint ventures, as well as navigating the regulatory issues associated with such transactions. His transactional practice has involved advising many clients on transactions with private equity-backed and other practice management company acquirers.
Whether in the health system or private practice setting, Derrick routinely advises clients in structuring compensation models and works with valuation firms and consultations to help carry out various compensation strategies. Derrick’s work with healthcare providers also routinely involves advising clients on the Stark Law, Anti-Kickback Statute, corporate practice of medicine issues, laws applicable to Mississippi Community Hospitals (including open meetings and public records laws), and other state and federal laws impacting healthcare providers.
